1. Acceptance of Terms
By accessing or using any product or service offered by Spectra Technologies ("Spectra", "we", "our", "us") — including Spectra Books, SpectraPOS, and SpectraPawn — you ("User", "Customer") agree to be bound by these Terms of Use ("Terms"). If you are using the Services on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms. These Terms constitute a legally binding agreement between you and Spectra Technologies.
2. Description of Services
Spectra Technologies provides cloud-based business management software including: Spectra Books: An all-in-one invoicing, billing, GST compliance, payroll, and accounting platform for Indian businesses. SpectraPOS: A mobile-first point-of-sale application for restaurants, supermarkets, and retail outlets. SpectraPawn: A billing and management application for pawn brokers and gold loan businesses. We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice.
3. Account Registration
To access certain features, you must create an account. You agree to: - Provide accurate, current, and complete information during registration - Maintain the security of your password and account credentials - Notify us immediately of any unauthorised access or security breach - Be responsible for all activities that occur under your account You may not share your account with others or create multiple accounts for the same entity without prior written consent from Spectra.
4. Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not: - Use the Services to engage in any illegal activity or violate any applicable law - Upload or transmit any malware, viruses, or harmful code - Attempt to gain unauthorised access to any part of our systems or Services - Reproduce, duplicate, copy, sell, or resell any part of our Services without express written permission - Use the Services in a manner that could damage, disable, or impair our infrastructure - Collect or harvest user data from our platform without authorisation - Violate the intellectual property rights of Spectra or any third party
5. Subscription and Payment
Access to certain features requires a paid subscription. Payment terms are communicated at the time of purchase or as agreed between you and Spectra. All fees are exclusive of applicable taxes including GST, which will be charged as required under Indian law. Subscription fees are non-refundable except as expressly stated in these Terms or required by law. Failure to pay may result in suspension or termination of your account with reasonable notice.
6. Intellectual Property
All content, features, and functionality of our Services — including software, text, graphics, logos, icons, and user interfaces — are the exclusive property of Spectra Technologies and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your internal business purposes. You acquire no ownership rights in the Services by virtue of this licence.
7. Your Data
You retain full ownership of all business data, records, and content you input into our Services ("Your Data"). By using our Services, you grant us a limited licence to store, process, and display Your Data solely for the purpose of providing the Services to you. We will not access, use, or disclose Your Data except as necessary to provide the Services, comply with legal obligations, or as described in our Privacy Policy. Upon termination, you may export Your Data in available formats within 30 days.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be considered confidential given the nature of the information. This obligation does not apply to information that becomes publicly available through no fault of the receiving party or is independently developed.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPECTRA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Spectra does not warrant that the Services will be uninterrupted, error-free, or completely secure. We make no warranty regarding the accuracy of any information provided through the Services.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPECTRA TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SPECTRA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Spectra Technologies and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or relating to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
12. Termination
Either party may terminate these Terms at any time. We reserve the right to suspend or terminate your access to the Services without notice if you breach these Terms or engage in conduct that we reasonably believe is harmful to other users, us, or third parties. Upon termination, all licences granted to you will immediately cease. Sections relating to intellectual property, disclaimers, limitation of liability, and governing law survive termination.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Nagercoil, Tamil Nadu, India. In the event of a dispute, the parties shall first attempt to resolve the matter through good-faith negotiation. If unresolved within 30 days, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.
14. Changes to These Terms
We may revise these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with the revised effective date or by sending a notification to your registered email. Continued use of the Services after such changes constitutes acceptance of the revised Terms.
